Der Erfolg der durch das MoMiG von 2008 grundsätzlich reformierten GmbH als Rechtsform ist ungebrochen. Er ist nicht zuletzt auf die große Flexibilität des GmbH-Rechts zurückzuführen. Die vorliegende 3. Auflage ist komplett überarbeitet und an die geänderte Rechtslage angepasst. Auch kommt es zu Änderungen im Bearbeiterkreis: In Band 3 hat Lars Leuschner die Kommentierung des GmbH-Konzernrechts (Anh. zu § 77) übernommen, die bisher von Peter Ulmer und Matthias Casper betreut wurde. Die restlichen Partien liegen weiterhin in den bewährten Händen von Peter Ulmer und Matthias Casper (§§ 53-55, 56-62, 78), Jörg Paura (§§ 65-77) und Andres Ransiek (§§ 79-88). Die Kommentierung des aufgehobenen § 64 wird als Anh. zu § 62 von Matthias Casper fortgeführt, der auch den § 55a und das EGGmbHG verantwortet. In dem neuen Anh. zu § 62 werden die Zahlungsverbote nach § 15b InsO sowie die Insolvenzverschleppungshaftung einschließlich der Insolvenzantragspflichten systematisch erläutert. Zudem wird ein Überblick über die Haftungsansprüche des StaRuG gegeben.
