Recent scandals involving large firms, in the US and elsewhere, have intensified discussion regarding the role and conduct of the corporation. The contributors to this book argue that much of this debate has taken too narrow a view of the issue of corporate governance, and question some of the key assumptions of economic models. Drawing on insights from a variety of fields, including management studies, organization studies, economics and finance, political science, sociology, psychology, and legal studies, the contributors argue that these models fail to take account of the varied and complex behaviour of actors within the corporation. Instead the organizational, cognitive, and motivational foundations of governance problems and possible solutions are re-worked to produce a broader conception of governance. The book contains chapters from leading international management scholars, including: Masahiko Aoki, Margaret Blair, John Child, Alvaro Cuervo-Cazurra, Bruno Frey, Anna Grandori, Joseph Lampel, Ryon Lancaster, William Lazonick, Siegwart Lindenberg, Patrick Moreton, Margit Osterloh, Michael Piore, Andrea Prencipe, Suzana Rodrigues, Mark Roe, Giuseppe Soda, Steen Thomsen, Brian Uzzi, Paul Windolf, and Todd Zenger.Corporate Governance and Firm Organization provides an important contribution to the corporate governance debate, and will be essential reading for academics and graduate students of corporate governance, business and management, economics, finance, sociology, and law; Consultants, professionals, and policy-makers working in the area of corporate governance.

Entrepreneurship has regained centre stage in the contemporary knowledge-intensive and innovation-driven economy, as well as in research. Integrating classic and recent insights into the organization, economics and management of entrepreneurial activities, Organizing Entrepreneurship aims to blend rigor with relevance, and connects theory with practical problems around key questions, such as: Is there any method in having ‘good ideas’ and discovering opportunities? Through which mechanisms can human, social, technical and financial resources be attracted and dedicated to new projects? Which alternative governance and organizational structures are to be considered for the constitution and organization of a new firm? To grow or not to grow? (Or how to grow without up-sizing)? How do you organize grown-up firms in an entrepreneurial mode? How can environments and external institutions help?Original case studies are discussed and integrated throughout the text, which reflect a wide range of sectors (from agri-business to high tech) and countries (including emerging economies). Providing a unique resource for students and instructors of entrepreneurship and organization, this book also offers new insights to entrepreneurs and investors in the organization of new firms, as well as to managers striving to infuse entrepreneurial behaviors into their already established firms.

This book proposes a new approach to economics, management and organization that should help in making economic organization ‘wise’, ‘innovative’ and ‘robust’ in an uncertain and risky world. Although the modern economy and society is ‘knowledge intensive’, Anna Grandori argues that the dominant economic, organizational and behavioural models neglect to a large extent the problem of valid knowledge construction and effective knowledge governance. The book integrates inputs from economics and behavioural science with insights from the philosophy of knowledge to define new micro-foundations: neither a calculative, deductive and omniscient ‘rational actor’; nor an experiential, adaptive and biased ‘behavioural actor’; but a knowledgeable and imaginative ‘epistemic actor’. The implications for contracts and organizations, sustained also by insights from law, are shown to be far reaching, including a new view of the nature of the firm as an entity-establishing agreement under which to discover uses of resources under uncertainty, and as a democratic institution.
